POSITION SUMMARY

 

The Corporate Counsel will join AMRI’s U.S. legal team, providing legal advice and support on a worldwide basis on a wide variety of matters with principal emphasis on commercial contractual matters.  This position will report to the Senior Counsel, Drug Product and Legal Operations and will support other senior attorneys on an “as needed basis.”  The position will have extensive interaction with senior-level business partners, including and in particular, within the sales group, as well as direct interaction with customers.  The position may be located in Albany, NY, the Greater Boston area or the Chicago area.

POSITION RESPONSIBILITIES

 

•         Drug Product Business Unit

o   Act as a business partner to the SVP of the Drug Product business unit and the VP of Sales, providing support and counsel for all legal needs.

o   Negotiate high-value, complex, long-term contracts with customers, satisfying the company’s business growth objectives while mitigating risk exposure.

o   Identify business issues on customer contracts and advise internal clients to enable them to make judgment calls on such issues.

o   Provide strategic advice and legal counsel on customer disputes and contract interpretation issues.

o   Work closely with business development, IT, finance, tax, R&D, procurement, regulatory and quality groups and other key internal stakeholders in support of the Drug Product business.

 

•         General Legal Matters and Initiatives

o   Provide support to the Senior Vice President, General Counsel and other senior attorneys on a variety of matters, including corporate governance, regulatory issues and legal research requests.

o   Assist with the development and implementation of legal and cross-functional initiatives to streamline and optimize certain legal functions, including the company’s contracting process.

o   Advise on general legal matters, including corporate, labor and employment issues, real estate matters, and/or M&A.  Exact duties will depend on skill set and background that the successful candidate brings to AMRI in combination with the current team.

Job Requirements

IDEAL CANDIDATE WILL POSSESS

•         J.D. from an accredited law school; licensed to practice in IL, MA or NY. 5 years of relevant experience at a leading law firm and/or in-house legal department, preferably in the life sciences industry.

•         Significant experience in drafting and negotiating consulting, confidentiality, supply, manufacturing and distribution contracts in a wide variety of contexts and ability to handle complex, contested negotiations with no supervision.

•         An excellent ability to: grasp legal and business issues quickly; balance risks; exercise sound judgment; and provide practical, constructive and timely counsel in a growing, dynamic, entrepreneurial and fast-paced business environment.

•         Positive and approachable demeanor with strong interpersonal, communication and collaboration skills with internal and external interactions at all levels.

•         Strong business and legal acumen with the ability to identify legal issues and devise and articulate creative and practical solutions.

•         Ability to multi-task and appropriately manage a high volume workflow, setting priorities with internal clients and delivering results efficiently.

•         Strong organizational and time- management skills and attention to detail.
