Corporate Counsel in Albany, NY 
Albany Molecular Research Inc. provides global contract research and manufacturing services to the pharmaceutical and biotechnology industries.

The Counsel candidate will join AMRI’s in-house legal team, providing legal advice and support on a worldwide basis on a wide variety of matters, with principal emphasis on commercial contracts, and global compliance matters.  This position will report to the Senior Counsel, or Assistant General Counsel (depending on experience), and will support other senior attorneys and business partners, as part of a collaborative legal team in a multi-national pharmaceutical R&D and manufacturing setting.  The position will have extensive interaction with senior-level business partners, including and in particular, within the Sales teams, as well as direct interaction with customers and suppliers. The position may be located in Albany, NY or Waltham, MA. 


POSITION RESPONSIBILITIES


Drug Discovery, Development and Analytical Services (DDA) Business Unit

  • Act as a business partner to the DDA business unit and the VP of DDA Sales, providing support and counsel for contracting matters, disputes, and other issues on an ad hoc basis. 
  • Negotiate a high volume of long-term contracts with customers and suppliers, satisfying the company’s business growth objectives while mitigating risk exposure. 
  • Identify business issues on customer contracts and advise internal clients to enable them to make judgment calls on such issues. 
  • Collaborate with DDA senior leadership to evaluate provisions in legacy contracts, and develop and implement strategies to remediate unfavorable terms. 
  • Provide strategic advice and legal counsel on customer disputes and contract interpretation issues.
  • Work closely with Operations, Finance, IT, Sales, Tax, R&D, Procurement, Regulatory and Quality groups, and other key internal stakeholders in support of the DDA business.


OFAC Sanctions Compliance 

  • Conduct due diligence on entities subject to sanctions laws.
  • Document and summarize findings for Compliance Counsel.
  • Work closely with Compliance Counsel to evaluate risks and legality of conducting business with such entities.
  • Communicate with field sales personnel and advise on status of transactions.

General Legal Matters and Initiatives

  • Provide support to the SVP, General Counsel, Assoc. General Counsel, and other senior attorneys on a variety of matters, including corporate governance, regulatory issues and legal research requests.
  • Assist with the development and implementation of legal and cross-functional initiatives to streamline and optimize certain legal functions, including the company’s contracting process. 
  • Advise on general legal matters, including corporate, regulatory, labor and employment, real estate, and/or M&A due diligence. Specific areas of responsibility may vary, depending on skill set and background that the successful candidate brings to AMRI, in combination with the current team.


Job Requirements

Education and/or Experience
  • J.D. from an accredited law school; licensed to practice in NY or MA. 
  • Minimum of 1 year relevant experience at a leading law firm and/or in-house legal department.
Preferred Qualifications
  • An excellent ability to: grasp legal and business issues quickly; balance risks; exercise sound judgment; and provide practical, constructive and timely counsel in a growing, dynamic, entrepreneurial and fast-paced business environment. 
  • Experience in drafting and negotiating a variety of contracts, such as confidentiality, consulting, R&D services, and manufacturing services agreements, with excellent legal writing skills.
  • Working knowledge of intellectual property concepts related to R&D services.
  • Positive and approachable demeanor with strong interpersonal, communication and collaboration skills with internal and external interactions at all levels.
  • Strong business and legal acumen with the ability to identify legal issues and devise and articulate creative and practical solutions.
  • Ability to multi-task and appropriately manage a high volume workflow, setting priorities with internal clients and delivering results efficiently.
  • Strong organization and time-management skills and attention to detail
